These Terms and Conditions ("Agreement") govern your use of the Briefly services ("Services"). By signing up for the Services, you agree to these terms and conditions.
- Definitions
- "Account" means the account you create to access and use the Services.
- "Services" refers to the SaaS platform provided by Briefly.
- "User Content" means any content, data, or information uploaded by you to the Services.
- Acceptance of Terms
By creating an account and using the Services, you accept and agree to be bound by this Agreement. If you do not agree, do not use the Services.
- Services Provided
a. Access to Services: Subject to your compliance with this Agreement and the payment of applicable fees, Briefly grants you a non-exclusive, non-transferable right to access and use the Services during the subscription term.
b. Platform Guidelines: You must comply with Briefly’s platform guidelines available at Platform Guidelines.
- Fees and Payment
a. Payment: You agree to pay all fees specified when you sign up for the Services. Payment methods accepted by Briefly will be charged according to the billing cycle selected.
b. Non-Refundable: Payments are non-cancellable and fees paid are non-refundable except as expressly provided in this Agreement.
c. Taxes: You are responsible for all applicable taxes arising from your use of the Services.
- User Responsibilities
a. Use of Services: You agree to use the Services in compliance with all applicable laws and not for any unlawful or prohibited activity.
b. User Content: You are responsible for all User Content uploaded to the Services and for ensuring it does not infringe any third-party rights.
c. Prohibited Activities: You must not misuse the Services, including, but not limited to, reverse engineering, unauthorized access, or any activity that disrupts the Services.
- Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Intellectual Property
a. Ownership: Briefly retains all rights, title, and interest in and to the Services, including all intellectual property rights.
b. License: You are granted a limited license to use the Services for your internal business purposes, subject to the terms of this Agreement.
- Confidentiality
a. Confidential Information: Both parties agree to keep confidential any proprietary information received from the other party, except as required by law.
b. Survival: Confidentiality obligations shall survive the termination of this Agreement.
- Data Protection and Privacy
a. Compliance: Briefly will comply with applicable data protection laws in handling your data.
b. Privacy Policy: Your use of the Services is also governed by our Privacy Policy, available here.
- Service Level Agreement (SLA)
If applicable, Briefly will use commercially reasonable efforts to ensure that the Services are available according to the SLA terms and will be governed by a separate agreement.
- Modification of Services
Briefly reserves the right to modify the Services. Users will be notified of significant changes through the platform or via email.
- Termination
a. By Customer: You may terminate this Agreement at any time by ceasing all use of the Services.
b. By Briefly: Briefly may terminate or suspend your access to the Services immediately if you breach this Agreement.
c. Effect of Termination: Upon termination, you must cease all use of the Services and any outstanding payments will become due immediately.
- Warranties and Disclaimers
a. Warranties: Briefly warrants that the Services will perform in substantial accordance with the documentation provided.
b. Disclaimers: The Services are provided "as is" and Briefly disclaims all other warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
a. No Indirect Damages: Briefly will not be liable for any indirect, incidental, special, or consequential damages.
b. Cap on Liability: Briefly’s total liability will not exceed the amount paid by you to Briefly in the twelve months preceding the claim.
- Indemnification
a. By Customer: You agree to indemnify Briefly against any claims arising from your use of the Services.
b. By Briefly: Briefly agrees to indemnify you against claims that the Services infringe a third party’s intellectual property rights.
- Force Majeure
Briefly will not be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, acts of terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, and strikes.
- Dispute Resolution
a. Governing Law: This Agreement is governed by the laws of England and Wales.
b. Jurisdiction: Any disputes will be settled in the courts of England and Wales.
c. Arbitration: In the event of a dispute, parties agree to attempt to resolve the matter through mediation or arbitration before seeking legal remedy.
- Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes all prior agreements.
